vbulletin upgrade - how difficult?

Hey folks,

I help to run a small, private web forum with about 50 members. Currently we're running on vbulletin version 2.3.3 but are thinking about upgrading to the latest version (I believe it's 3.5). I have a few questions about the process though.

How difficult of an upgraded is this? How much time will it take?

What are the pros/cons of upgrading?

Will we lose anything in the process (threads, member accounts, etc.)?
